Deputy General Counsel Mid-Sized Solar & Energy Storage Development Company United States & Canada (with selective European operations) Hybrid / Flexible Location COMPANY OVERVIEW We are a growth-oriented renewable energy development company with ~50 employees and active operations across the United States and Canada, along with selective business activities in Europe. We develop and advance utility-scale solar projects, with increasing focus on energy storage and hybrid solutions. Backed by experienced investors, the company is entering its next phase of growth—expanding pipeline, strengthening execution capabilities, and positioning the business for scale and potential strategic exit. POSITION OVERVIEW The Deputy General Counsel will serve as a senior member of the legal leadership team, supporting the General Counsel in managing the company’s legal affairs across development, financing, commercial transactions, and corporate governance. This role will play a central part in structuring and negotiating project transactions, managing legal risk across multiple jurisdictions, and building scalable legal processes to support the company’s growth. The Deputy General Counsel will work closely with executive leadership, development teams, finance partners, and external counsel to enable efficient execution of the company’s expanding solar and energy storage platform. The role does not require full-time on-site presence; location is flexible within North America, with periodic travel across U.S. and Canadian operations. Key Responsibilities Transaction Execution & Commercial Contracts Lead and negotiate complex commercial agreements across the project lifecycle, including: • Project acquisition and divestiture agreements • Joint development and partnership agreements • EPC, equipment supply, and construction contracts • Power purchase agreements (PPAs) and offtake structures • Interconnection and transmission-related agreements Support structuring and negotiation of project financing transactions, including tax equity, debt financing, and joint ventures. Collaborate with development, finance, and commercial teams to structure transactions that balance risk mitigation with commercial execution. Development & Project Legal Support Provide legal support throughout the renewable project development lifecycle, including: • Site control and land agreements • Interconnection and transmission arrangements • Permitting and regulatory matters • Development services agreements • Energy storage and hybrid project structures Work closely with development teams to identify and manage legal risks in project pipeline expansion. Support entry into new jurisdictions and regulatory environments as the company grows. Corporate Governance & Strategic Transactions Support the General Counsel and executive leadership on corporate legal matters, including: • Board governance and corporate documentation • Corporate structuring across multiple jurisdictions • Strategic investments, partnerships, and acquisitions • Preparation for financing events or potential strategic transactions Assist with legal diligence processes associated with capital raises, recapitalization, or exit scenarios. Legal Infrastructure & Risk Management Help build scalable legal infrastructure to support a growing development platform. Implement contract management processes, internal templates, and transaction playbooks. Manage external law firms efficiently while maintaining high-quality legal execution. Ensure compliance with applicable regulatory frameworks across U.S., Canadian, and select European markets. Develop internal risk management frameworks and legal review processes. Cross-Functional Collaboration Serve as a trusted legal advisor to development, finance, and executive leadership teams. Translate complex legal and regulatory issues into practical commercial guidance. Support a collaborative, solutions-oriented legal function aligned with the company’s entrepreneurial culture. QUALIFICATIONS & EXPERIENCE Required 10+ years of legal experience in renewable energy, power infrastructure, project finance, or related sectors. Significant experience negotiating complex commercial transactions and project development agreements. Strong familiarity with renewable energy project structures, including solar and energy storage. Experience supporting project finance, tax equity, or infrastructure investment transactions. Admission to practice law in at least one U.S. jurisdiction. Highly Preferred Direct experience in utility-scale solar and/or battery energy storage (BESS) development. Experience working with private equity-backed or growth-stage infrastructure companies. Cross-border legal experience involving U.S. and Canadian transactions. Background in project finance, infrastructure investment, or energy regulatory frameworks. Prior in-house legal experience within a renewable energy developer or infrastructure platform. Leadership Profile Strategic but highly execution-oriented legal professional. Commercially minded with strong business judgment. Able to balance risk management with pragmatic deal execution. Comfortable operating in a fast-moving, growth-stage company environment. Collaborative partner to both executive leadership and operational teams. Capable of managing multiple complex transactions simultaneously. COMPENSATION Competitive base salary (commensurate with experience) Performance-based annual bonus Long-term incentive structure tied to enterprise outcomes Total compensation designed to align leadership incentives with company growth and strategic objectives. TRAVEL Periodic travel within the United States and Canada required; occasional travel to Europe as needed.
